These Terms of Service ("Terms") govern your access to and use of Online Nexus's website, services, and products (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

Acceptance of Terms

By accessing or using Online Nexus's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Description of Services

Online Nexus provides consulting services, software products, and technology solutions including but not limited to:

  • Cloud architecture and DevOps consulting
  • AI/ML integration and MLOps services
  • FinOps and cost optimization services
  • SaaS products and software solutions
  • Research and development services

Use of Services

Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate Online Nexus, an employee, another user, or any other person or entity
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, or harmful

Account Responsibilities

If you create an account with us, you are responsible for maintaining the security of your account and password. You agree to accept responsibility for all activities that occur under your account.

Intellectual Property Rights

The Services and their original content, features, and functionality are owned by Online Nexus and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not modify, reproduce, distribute, create derivative works of, publicly display, or in any way exploit any of the content available through the Services without our prior written permission.

Consulting Services Terms

Engagement

Consulting services are provided pursuant to separate written agreements or statements of work. These Terms apply to consulting engagements unless superseded by a specific written agreement.

Payment

Payment terms, rates, and billing arrangements will be specified in your service agreement. Unless otherwise agreed, payment is due within 30 days of invoice date.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of consulting engagements, subject to the terms of any applicable non-disclosure agreement.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ONLINE NEXUS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONLINE NEXUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICES.

Indemnification

You agree to defend, indemnify, and hold harmless Online Nexus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Online Nexus operates, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the Washington, DC Metro Area.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
